By accessing or using the website chayne.com and any related services (collectively, the "Site") operated by Chayne Global Management LLC ("Chayne," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site.
Chayne Global Management LLC is a Delaware limited liability company operating as an Exempt Reporting Adviser ("ERA") with filings made to the U.S. Securities and Exchange Commission. The Site provides general information about Chayne's investment management services, including the Chayne Modern Yield Fund LP (the "Fund"). Interests in the Fund are offered under Rule 506(c) of Regulation D to verified accredited investors only, and any offer or sale of interests will be made solely through the Fund's confidential offering documents, as described under "No Offer of Securities" below.

The Fund utilizes blockchain-based infrastructure for certain settlement, custody, and record-keeping functions. By using the Site or investing in the Fund, you acknowledge that: (a) certain transaction data may be recorded on public blockchain networks and cannot be modified or deleted once confirmed; (b) blockchain networks operate independently and Chayne does not control network availability, transaction confirmation times, or gas fees; (c) digital asset custody and wallet infrastructure may be provided through third-party service providers, including Salt, and are subject to the terms, conditions, and operational limitations of those providers; (d) on-chain transactions may be publicly visible; and (e) regulatory treatment of digital assets is evolving and may affect the Fund's operations or strategy.
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, CHAYNE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE.
You agree to indemnify, defend, and hold harmless Chayne Global Management LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Site or violation of these Terms.
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with the arbitration conducted in Miami, Florida. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Nothing in this section shall limit Chayne's right to seek injunctive or other equitable relief in any court of competent jurisdiction.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site.
